Terms of service

These terms are between you and Pangea United Inc., trading as Pangea Up, of 229 S Dixie Hwy W, Pompano Beach, FL 33060. In these terms "we" and "us" mean that company, and "you" means the person or business engaging us.

They apply when you engage us for any service described on this site. A written quote or engagement email for specific work sits on top of these terms; where the two conflict, the specific one wins.

Pangea United Inc., d/b/a Pangea Up, is a document filing and business services company. We are not a law firm or an accounting firm, we do not provide legal or tax advice, and we are not a substitute for an attorney or a CPA. Communications with us are not protected by attorney-client privilege. Requirements vary by state, and we do not advise on which state or entity type you should choose.

Our services are the preparation and filing of documents at your direction, and the design, development and marketing services described on this site. We act on your instructions. We do not decide for you which state to form in, which entity type to use, or how anything should be treated for tax.

• Giving us accurate and complete information. We file what you tell us. A filing that is wrong because the information was wrong is corrected at your cost.
• Being entitled to instruct us for the business in question.
• Responding when we need a decision. Filings and builds stall waiting on answers, and state deadlines do not pause.
• Owning or being licensed to use any logo, images or copy you give us for your website or social profiles.
• Meeting your company's ongoing obligations after we file — annual reports, franchise taxes, licence renewals — unless you have separately engaged us for them.

Prices are as quoted and as published on this site. The Startup Bundle is $4,799 up front and $499 per month; individual services are priced on their own pages.

State and local filing fees are not included and are billed to you at cost. They are set by the relevant authority, not by us, and are payable in addition. Work outside an agreed scope is quoted and approved by you before it starts.

Monthly fees are payable monthly in advance. If a payment fails we will tell you before anything stops.

The monthly service runs for a minimum of 12months, then month to month, ending on 30 days' written notice from either of us to contact@pangeaup.com.

Your registered agent service ends when the monthly service ends. Every state requires your company to keep a registered agent with a physical address in that state, so on cancellation you must appoint a replacement. Failing to do so can put the company out of good standing or lead to administrative dissolution. This is set out more fully in our Disclosures.

We may end an engagement if we are asked to do something we believe is unlawful, if we are asked for legal or tax advice we are not able to give, or if fees go unpaid after we have asked.

You own your domain name and your content from day one. The domain is registered in your name. Website files transfer to you on request once 12 months of the monthly service have been paid.

You keep ownership of everything you give us. We keep ownership of our own underlying tools and components, and grant you a licence to use them as part of what we build for you.

Set out in full in our Disclosures. In summary: money paid for work not yet started is refunded; state filing fees are not refundable once submitted, because the state does not return them; work already performed is billed for.

We do not guarantee search rankings, traffic or revenue. We do not guarantee state processing times, which the states set and vary. We do not guarantee a filing will be accepted, though where a rejection is our error we correct and refile at our cost.

Our services are provided with reasonable skill and care. Beyond that we do not make implied warranties.

Nothing in these terms excludes liability that cannot lawfully be excluded, including for fraud.

Subject to that, our total liability arising from any engagement is limited to the fees you have paid us for the work the claim relates to, and we are not liable for lost profits, lost business, or other indirect losses.

We are not liable for the consequences of information you gave us being wrong, of a government agency's decision or delay, or of obligations of your company that you did not meet after we filed.

These terms are governed by the laws of the State of Florida, where we are based, and the courts of Broward County, Florida have jurisdiction. If a mandatory consumer-protection rule where you live gives you rights that this clause would take away, that rule wins.

If any part of these terms is unenforceable, the rest continues to apply.

We may update these terms. The date at the top of this page is when they were last revised. Changes apply to engagements entered into after that date; they do not retroactively change work already agreed.
