What we are, and what we are not
Pangea United Inc., d/b/a Pangea Up, is a document filing and business services company. We are not a law firm or an accounting firm, we do not provide legal or tax advice, and we are not a substitute for an attorney or a CPA. Communications with us are not protected by attorney-client privilege. Requirements vary by state, and we do not advise on which state or entity type you should choose.
Our work is the preparation and filing of documents on your behalf, and the design, build and marketing services described on this site. When we tell you what a state requires, we are telling you what its published rules say — not advising you on what you should do about them.
If a question needs a lawyer or an accountant, we will say so and stop rather than guess. That happens regularly and it is not a failure of the service.
We do not advise on which state or entity type to choose
Choosing a state and choosing between an LLC and a corporation are legal and tax questions. They depend on facts about your situation that an attorney or a CPA is the right person to weigh, and the answer has consequences that last for the life of the company.
We can tell you what each state publishes about its own fees, processing times and ongoing obligations. We file where you direct us. We will not recommend a jurisdiction or an entity type, and you should be cautious of anyone in our category who does it casually.
Fees, and what our pricing does not include
An EIN is available directly from the IRS at no cost. Our fee is for preparing and submitting your filings on your behalf. State and local filing fees are not included in our pricing and are billed to you at cost. Filing requirements, fees, and processing times vary by state.
State and local filing fees are billed to you at cost. We do not mark them up and we do not take a margin on them. Across the country they generally run between $50 and $500 depending on the state and the filing.
Some states also carry ongoing obligations — annual or biennial reports, franchise taxes, minimum taxes — which continue for as long as the company exists and are yours to pay. California's minimum franchise tax is the example that surprises people most often. We will tell you about your state's before you file.
Figures published on this site
We publish a state's filing fee or processing time only once we have verified it against that state's own filing authority, and each verified figure is shown with the date it was checked. Where we have not verified a figure, we show none rather than an estimate.
Fees and processing times change without notice. Confirm current requirements with the relevant Secretary of State. See our state pages for what we currently publish.
The Startup Bundle
The bundle is $4,799 up front, then $499 per month. What each covers is listed in full on the Startup Bundle page.
Work beyond the monthly scope is quoted and approved by you before it starts. We do not bill you for work you have not agreed to.
Term and cancellation
The monthly service has a 12-month minimum. After that it runs month to month and either of us can end it with 30 days' notice. Nothing renews for another fixed term, and the price does not step up when the minimum ends.
To cancel, tell us in writing at contact@pangeaup.com. The 30 days runs from when we receive it.
If you cancel, your registered agent service ends
This is the term most likely to catch someone out, so it has its own section.
Your monthly fee includes registered agent service. When the monthly service ends, that agent service ends with it. Every state requires your company to maintain a registered agent with a physical street address in that state, so you must appoint a replacement agent with your state — either yourself, if you qualify, or another provider.
This is a legal obligation of the company, not an optional extra. A company left without a registered agent can fall out of good standing and, depending on the state, be administratively dissolved. We will remind you at cancellation, but the responsibility is yours.
Who owns what
You own your domain name and your content from day one. The domain is registered in your name, not ours. We do not hold a client's domain as leverage and never will.
Website files transfer to you on request once 12 months of the monthly service have been paid. Your business records, filings and correspondence are yours at any time, on request.
Refunds
Before we start work on your engagement, anything you have paid is refundable in full. After that, the position depends on what has already been spent or committed:
- State and local filing fees are not refundable once submitted. The state does not return them to us, so we cannot return them to you.
- Printed business cards are not refundable once they have gone to print.
- Work already performed — filings prepared, pages designed and built, profiles set up — is billed for the work done.
- Anything not yet started is refunded.
Monthly fees are not refunded for a month already begun, and the service continues to the end of the 30 days' notice.
If you believe we have got something wrong, call (305) 323-4165 before anything else. Most of what looks like a refund question is a fixable problem.
What we do not guarantee
Search rankings depend on factors outside our control. We do not guarantee specific rankings, traffic volumes, or revenue outcomes.
Processing times are set by the states and not by us. Some clear a filing the same day and others take weeks, and the same state varies month to month. We do not promise a turnaround we do not control, and we will tell you the state's current published time rather than a number that sounds better.
We also do not guarantee that a filing will be accepted. States reject filings for reasons including name conflicts. Where a rejection is our error, we correct and refile at our cost.
About the EIN specifically
An EIN is available directly from the IRS at no cost, and you can obtain one yourself. Our fee covers preparing and submitting the application on your behalf as part of a larger engagement. We state this plainly because some firms in this category do not.
